1. Agreement

These Terms of Service (“Terms”) govern access to the website at toolkitmagnoliapath.click (the “Site”) and the consulting services offered by Magnolia Path Consulting Co., Ltd. (“Magnolia Path,” “we,” “us”) based in Taiwan. By using the Site or engaging our services, you agree to these Terms.

2. Services

Magnolia Path provides business consulting related to B2B sales pipeline improvement, including diagnostics, playbooks, deal reviews, win/loss interviews, and governance retainers. Service scope, fees, and deliverables are defined in individual proposals or engagement letters. Information on the Site is descriptive and does not constitute a binding offer until a written agreement is signed.

3. Use of the Site

You may use the Site for lawful purposes to learn about our services and contact us. You may not attempt to disrupt the Site, scrape content for competitive misuse, upload malware, or use automated means to overload our infrastructure.

4. Intellectual property

Content on the Site—including text, graphics, logos, and layout—is owned by Magnolia Path or used with permission. Deliverables created under a paid engagement are licensed to the client as specified in the engagement letter. We retain the right to use generalized methodologies and non-confidential frameworks across clients.

5. Confidentiality

Client information shared during engagements is handled under confidentiality terms in the engagement letter and our Privacy Policy. Information submitted through the contact form is used to respond to inquiries and propose services.

6. Disclaimer

Consulting advice is based on information you provide and our professional judgment. We do not guarantee specific revenue outcomes, win rates, or forecast accuracy. Business results depend on client execution, market conditions, and buyer behavior outside our control.

7. Limitation of liability

To the fullest extent permitted by the laws of Taiwan, Magnolia Path’s total liability arising from the Site or services shall not exceed the fees paid by you for the specific engagement giving rise to the claim during the twelve months preceding the claim. We are not liable for indirect, incidental, or consequential damages including lost profits.

8. Indemnity

You agree to indemnify Magnolia Path against claims arising from your misuse of the Site, violation of these Terms, or provision of inaccurate information that leads to third-party claims against us.

9. Third-party links and images

The Site may link to external resources or display images hosted by third parties. We do not control those services and are not responsible for their content or privacy practices.

10. Governing law and disputes

These Terms are governed by the laws of Taiwan (Republic of China), without regard to conflict-of-law principles. Courts in Taipei City shall have exclusive jurisdiction over disputes, unless mandatory law requires otherwise.

11. Changes

We may update these Terms by posting a revised version on the Site with a new effective date. Continued use after changes constitutes acceptance.
